This Collaboration Agreement establishes the foundation of the relationship between PartneaHub and its freelance negotiators. It outlines the rights, duties, and responsibilities of both parties, ensuring a professional and transparent collaboration. This document automatically applies to all freelance negotiators upon their admission to work with the company, thus validating their commitment to adhere to the established terms. As independent partners, negotiators enjoy complete autonomy while actively contributing to the objectives of PartneaHub. This agreement marks the beginning of a mutually beneficial collaboration, based on trust and performance.

Article 1: Purpose of the Agreement

This agreement aims to define the terms and conditions governing the collaboration between PartneaHub and its freelance negotiators. It outlines the responsibilities, rights, and obligations of both parties, as well as the execution modalities for the tasks. The main objective is to ensure a smooth cooperation to achieve the expected results in the search, negotiation, and establishment of partnerships for the benefit of clients. This agreement also establishes rules regarding the negotiator's autonomy, the confidentiality of exchanged information, and the payment terms, thereby ensuring a professional relationship based on trust and transparency.


Article 2: Freelance Negotiator Status

The negotiator acts as an independent freelancer, with no subordinate relationship to PartneaHub. This status ensures complete freedom in organizing their activities, including managing their schedule and using their own work tools. As a partner, the negotiator is responsible for completing the tasks assigned to them in accordance with the defined expectations. They do not receive employee benefits such as paid leave or social protection from the company. This independence allows the negotiator to maximize their potential while adhering to the professional standards set by PartneaHub.


Article 3: Selection of Freelance Negotiators

Freelance negotiators are carefully selected based on a thorough evaluation of their profiles. This assessment aims to ensure a match between their skills, experience, and the specific requirements of the role. Each profile is analyzed to ensure it meets PartneaHub's quality standards and expectations. This includes reviewing their qualifications, proficiency with professional tools, and ability to handle complex negotiations. This approach ensures a successful collaboration and effective representation of our services to clients and partners.


Article 4: Membership and Acceptance of Terms

The membership to this agreement is automatic as soon as a negotiator is accepted as a freelancer at PartneaHub. By signing this document or accepting the terms electronically, the negotiator agrees to comply with all the clauses outlined. They confirm that they are aware of the rights and obligations associated with their status. Acceptance of this agreement also validates their commitment to maintain a high level of professionalism, protect the confidentiality of received information, and fulfill the assigned tasks. Any violation of the terms may result in sanctions or termination of the collaboration, as defined in this agreement.

Article 5: Roles and Responsibilities of the Negotiator

The freelance negotiator is responsible for identifying and pre-negotiating partnership opportunities for PartneaHub's clients. They analyze the needs of businesses, search for potential partners, and ensure a thorough pre-selection process. They prepare detailed reports on each pre-negotiation and attend final negotiations as the main point of contact. The negotiator must also adhere to deadlines and quality standards set by PartneaHub. They are required to maintain confidentiality regarding exchanged information and work with professionalism and ethics to uphold PartneaHub's reputation and ensure the success of the assignments.


Article 6: PartneaHub’s Obligations to the Negotiator

PartneaHub commits to providing the freelance negotiator with clear and well-defined assignments, along with all the necessary information to carry out their work. The company ensures support when needed, offering tools or advice tailored to the task. PartneaHub also guarantees compensation in accordance with the terms of the agreement, within the specified timeframes. As a partner, PartneaHub respects the negotiator’s independence and ensures transparent and effective communication. Lastly, PartneaHub takes care of organizing the final negotiations and overseeing partnerships, while recognizing the negotiator's efforts within the collaboration.


Article 7: Autonomy and Absence of Subordination

The freelance negotiator works independently, organizing their activities according to their schedule and priorities. They are not subject to a hierarchical relationship with PartneaHub and use their own tools and resources to carry out the assigned tasks. This independence allows them to work from any location and manage their resources freely. PartneaHub views the negotiator as a partner, not an employee, and does not impose working hours or methods. This professional freedom promotes the negotiator's fulfillment and ensures a collaboration based on trust and responsibility.

Article 8: Privacy and Data Protection

The freelance negotiator agrees to maintain the confidentiality of the information they have access to in the course of their duties. This includes, but is not limited to, client data, potential partner information, and that of PartneaHub. Any unauthorized disclosure is strictly prohibited and may result in sanctions, including the immediate termination of the agreement. PartneaHub provides guidelines to ensure data security, and the negotiator must comply with them diligently. The tools used must meet security standards to prevent any risk of leakage or breach of confidential data.


Article 9: Tools and Means of Work

The freelance negotiator uses their own tools and means of work to carry out the assigned tasks. This includes a computer, reliable internet access, communication tools, and software suited for research and negotiation. PartneaHub recommends certain platforms, but it is up to the negotiator to choose the resources that best suit their needs. If necessary, PartneaHub may offer training or access to specific tools, but their use remains optional. This autonomy ensures that each negotiator works in an environment optimized according to their preferences.


Article 10: Mission Process and Collaboration Modalities

Tasks are assigned to the negotiator through defined channels, such as email or dedicated groups. Each task is accompanied by a clear brief detailing the objectives, deadlines, and specific expectations. The negotiator studies the file, conducts necessary research, and carries out the pre-negotiations before submitting their results to PartneaHub. Final negotiations are organized through video conferences with all relevant parties. PartneaHub supervises the process to ensure its smooth execution. This structured and seamless collaboration maximizes the chances of success for each task.

Article 11: Remuneration and Payment Conditions

The negotiator is compensated according to an attractive model that reflects their efforts and results. A fixed amount, starting at $80, is paid immediately after the successful negotiation. In addition, a commission of 15% on the profits generated by the partnership is paid after one year of follow-up. Payments are made via PayPal or another agreed-upon method. PartneaHub ensures transparency in the compensation calculations and provides detailed reports for each task. All compensation is subject to the approval of results in accordance with the terms of the agreement.


Article 12: Intellectual Property and Use of Resources

The information, data, and resources provided by PartneaHub to the negotiator for the missions remain the exclusive property of the company. The negotiator agrees to use them solely for the assigned tasks and not to share or exploit them for personal or commercial purposes. Similarly, the results of the missions carried out on behalf of PartneaHub become the property of the company. Any unauthorized use of resources or violation of intellectual property rights may result in sanctions, including the immediate termination of the agreement and legal action.


Article 13: Term, Renewal and Termination of the Agreement

This agreement comes into effect upon the official acceptance of the negotiator as a freelancer within PartneaHub. It is concluded for an indefinite duration, with the possibility of termination at any time by either party, subject to a 30-day written notice. PartneaHub reserves the right to immediately terminate the agreement in the event of a serious breach of contractual obligations. The renewal or continuation of the collaboration is tacit, provided that both parties fulfill their commitments. Upon termination, all outstanding obligations, including confidentiality, remain in effect.

Article 14: Dispute Management and Mediation

In the event of a disagreement or conflict related to the execution of the agreement, the parties agree to prioritize an amicable resolution through direct and constructive discussion. If no compromise is reached, mediation may be initiated with a neutral mediator designated by mutual agreement. The costs of mediation will be shared equally between the two parties. As a last resort, disputes will be submitted to the competent courts specified in the agreement. This process ensures transparent and fair management of disputes while preserving the collaboration and trust between the parties.


Article 15: Non-Competition and Loyalty Pledge

During the term of the agreement and for a period of 12 months after its termination, the negotiator agrees not to collaborate with companies competing with PartneaHub on similar tasks, unless prior written authorization is obtained. They also agree not to directly solicit the company's clients or partners for their personal benefit. This commitment aims to protect the business interests of PartneaHub and maintain the trust-based relationship with its clients. Any violation will result in sanctions, including legal action and claims for compensation for any losses incurred.


Article 16: Deadline Conditions for the Negotiation Mission

When a negotiator receives a mission, he has 7 days to find the requested partner. This deadline can be renewed once. After this deadline, if the mission is not completed, it will be transferred to another negotiator. In the event of recurring failure to find partners on the assigned files, the negotiator risks no longer receiving new partnership research and negotiation missions. It is therefore essential to respect the deadlines to guarantee optimal performance and continuity of collaboration with PartneaHub.

Article 17: Marketing Practices and Respect for PartneaHub's Image

Negotiators agree to avoid any clumsy, deceptive, or intrusive marketing practices that could harm the image of PartneaHub or its clients. They must ensure to adopt ethical, transparent, and respectful methods when engaging with prospects, avoiding aggressive tactics, unfounded promises, or any behavior that could damage the company’s reputation. In the event of such practices being identified, PartneaHub reserves the right to immediately terminate the collaboration agreement without notice. The negotiator will also be held responsible for any potential damage caused to the image of PartneaHub or its clients due to these practices.


Article 18: Modification, Validity and Signature of the Agreement

This agreement can only be modified by an addendum that is written and signed by both parties. Any modification not formalized in writing is considered null and void. The agreement takes effect as soon as it is signed electronically or physically by both parties. It remains valid as long as the terms are respected and no official termination is made. This document represents the entire agreement between PartneaHub and the negotiator, superseding any prior communications or informal agreements related to this collaboration.
